Terms of Service

By accessing, browsing, registering for, or using Career Circle, you confirm that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy.

If you are agreeing to these Terms on behalf of a company, organization, government entity, or other legal entity, you represent and warrant that you have the full legal authority to bind that entity to these Terms. If you do not agree with these Terms, you must not access or use Career Circle.

You must be at least 13 years of age to create an account or use Career Circle.

Career Circle provides a professional networking environment comprising member profiles, community feeds, circles, live audio/video Signal rooms, company pages, and career-intelligence tools.

We are committed to maintaining a free core network for professionals. Essential individual networking, profile creation, circle participation, company discovery, and basic Signal access are provided free of charge. Paid tiers, institutional sponsorships, or employer recruitment subscriptions may offer advanced analytics and organizational features, but core individual connectivity remains free.

Career Circle is built on authentic professional identity. You agree that the information you provide in your profile—including your name, work history, educational credentials, certifications, and portfolio links—is accurate, current, and truthful.

Impersonation of any person or organization, fabricating credentials, creating deceptive duplicate accounts, or misrepresenting employment affiliations is strictly prohibited and constitutes grounds for immediate account termination.

Career Circle permits verified organizations to create company pages, publish job opportunities, and host recruitment rooms:

Circles are collaborative spaces for peers grouped by industry, discipline, or shared goals. Circle creators and moderators are responsible for establishing focused guidelines consistent with our Community Guidelines.

UMATTR reserves the right to review, moderate, reassign, or disband circles that violate acceptable use standards, engage in commercial spam, or foster harassment.

Signal powers real-time audio, video, and screen-sharing sessions for professional collaboration:

• Live Conduct: Participants must behave professionally. Disruptive behavior, broadcast of unauthorized copyrighted material, explicit or violent content, and harassment are strictly prohibited.
• Recording Rules: Users may not record or capture audio/video from Signal rooms using external software without the express, informed consent of all session participants. Where native platform recording is used, clear in-room visual notifications and consent confirmations are mandatory.
• Host Authority: Room hosts and co-hosts have the authority to mute, remove, or ban participants who disrupt sessions.

You retain full ownership of the original content you create and post on Career Circle, including your articles, portfolio projects, comments, and profile media. We do not claim ownership of your work.

To operate the Service, you grant UMATTR Global AI Inc. a non-exclusive, worldwide, royalty-free, transferable license (with the right to sub-license solely to service providers acting on our behalf) to host, store, cache, reproduce, format, display, and distribute your content across the Platform, strictly in accordance with your chosen visibility settings (e.g. public vs. private circle).

This license terminates within a commercially reasonable period after you remove your content or delete your account, subject to technical backup retention and content previously shared by other users.

The Career Circle platform, including its software code, user interface designs, logo marks, visual systems, documentation, databases, and trademarks (“Career Circle,” “UMATTR,” “Signal,” and associated brand assets) are the exclusive intellectual property of UMATTR Global AI Inc. and its licensors.

You are granted a limited, personal, non-exclusive, revocable license to access and use Career Circle strictly for your lawful professional purposes in accordance with these Terms.

Career Circle integrates artificial intelligence features to assist with career pathway mapping, skill assessments, and market trend synthesis:

You agree not to engage in any of the following prohibited activities on Career Circle:

• Spam & Deception: Posting unsolicited commercial messages, recruitment spam, fraudulent opportunities, chain letters, or phishing links.
• Harassment & Abuse: Threatening, harassing, defaming, bullying, or discriminating against any member on the basis of race, religion, gender, sexual orientation, disability, or other protected characteristics.
• Scraping & Automated Access: Using automated crawlers, scrapers, bots, or scripts to harvest member data, profile information, or directory content without our prior written authorization.
• Security Tampering: Probing, scanning, or testing vulnerabilities of the platform, circumventing authentication systems, injecting malware, or causing denial of service.
• Intellectual Property Infringement: Uploading content that violates any patent, trademark, trade secret, copyright, or privacy right of any party.

UMATTR Global AI Inc. reserves the right, but has no obligation, to monitor activity and content on Career Circle.

We may, in our sole discretion and without liability, remove, edit, or restrict any content that violates these Terms or our Community Guidelines. We reserve the right to suspend or permanently terminate the account of any user who repeatedly violates these Terms or engages in egregious misconduct.

You may terminate your account at any time by navigating to Privacy Settings and confirming account deletion.

Upon account deletion, your profile is immediately deactivated, your active posts and comments are removed or tombstoned, and your authentication credentials are deleted from our active database. Limited audit records and safety logs may be retained as permitted by law and detailed in our Privacy Policy.

Career Circle and all associated content, tools, and services are provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, whether express, implied, or statutory.

To the maximum extent permitted by applicable law, UMATTR Global AI Inc. expressly disclaims all warranties, including without limitation implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted or error-free service availability.

To the fullest extent permitted by applicable law, in no event shall UMATTR Global AI Inc., its directors, officers, employees, affiliates, or agents be liable for any indirect, incidental, special, consequential, or punitive damages—including loss of profits, loss of data, loss of business opportunities, loss of goodwill, or personal injury—arising out of or in connection with your use of or inability to use Career Circle.

Our total aggregate liability for any claims under these Terms, whether in contract, tort (including negligence), or otherwise, shall not exceed the greater of: (a) the amount paid by you to UMATTR Global AI Inc. for use of the Service in the twelve (12) months preceding the incident, or (b) fifty Canadian dollars ($50.00 CAD).

You agree to indemnify, defend, and hold harmless UMATTR Global AI Inc., its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these Terms; or (c) your violation of any third-party right, including intellectual property, privacy, or defamation rights.

These Terms of Service and any dispute arising out of or related to Career Circle shall be governed by and construed in accordance with the laws of the Province of Alberta, Canada, and the federal laws of Canada applicable therein, without giving effect to any choice of law or conflict of law principles.

You irrevocably agree that the courts located in Calgary or Edmonton, Alberta, Canada, shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter.

We may update these Terms from time to time to reflect platform enhancements, operational changes, or legal requirements. When changes are made, we will revise the “Last Updated” date at the top of this page.

If we make material changes, we will provide notice through the Platform or via email before the changes become effective. Your continued use of Career Circle after the effective date of updated Terms constitutes your binding acceptance of those changes.
